These Terms of Service constitute a legally binding agreement between you ("you" or "your") and 7 Candlesticks, Inc. (collectively with its affiliates, “Candle,” “we,” “our,” or “us”). These Terms govern your use of the Candle Services, which include the website available at, its network of websites, software applications, and any other products or services offered by Candle, including the Candle Platform designed to assist with the creation and trading of Digital Assets. Candle Services may be provided by Candle or any Candle Affiliate.
By clicking “Sign Up” or otherwise registering, downloading, accessing, or using the Candle Services, you agree that you have read, understood, and accepted these Terms, together with any additional documents expressly incorporated herein. You acknowledge and agree that you will be bound by and will comply with these Terms, as updated and amended from time to time. If you do not agree to these Terms, do not access or use any of the Candle Services.
When using the Candle Services or opening an account on behalf of a company, entity, or organization (collectively, “Subscribing Organization”), you represent and warrant that you: (i) are an authorized representative of that Subscribing Organization with the authority to bind it to these Terms and grant the licenses herein; and (ii) agree to these Terms on behalf of such Subscribing Organization.
RISK WARNING
The value of Digital Assets can fluctuate significantly, and there is a material risk of economic loss when buying, selling, holding, or investing in them. You should consider whether trading or holding Digital Assets is suitable for you based on your personal circumstances, financial or otherwise. We are not your broker, intermediary, agent, or advisor, and we have no fiduciary relationship or obligation to you in connection with any activities you undertake using the Candle Services. No communication or information provided by us is intended as, or should be construed as, investment or consulting advice of any kind. You are responsible for determining the appropriateness of any investment or transaction, conducting your own due diligence, and consulting your financial advisor as needed. We are not responsible for your decisions to buy, earn, sell, or hold Digital Assets or for any associated losses.
Welcome to the services operated by 7 Candlesticks, Inc. When using the Candle Services, you will be subject to Candle’s Community Guidelines and any additional guidelines or rules posted on the Candle Services, made available to you, or disclosed in connection with specific services and features (collectively, the “Guidelines”), all of which are incorporated into these Terms by reference. Certain paid services may also be subject to the Candle Terms of Sale and additional disclosed terms.
For the Candle Platform:
The Candle Platform is a digital platform designed to assist with the creation and trading of Digital Assets. By using the Candle Platform, you enter into a legally binding agreement with us governed by these Terms. You must read these Terms and any referenced documents carefully and contact us if you do not understand anything.
The Candle Services are not available to persons under the age of 13. If you are between 13 and the age of legal majority in your jurisdiction, you may only use the Candle Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms. The Candle Services are also not available to users previously removed by Candle or barred under U.S. laws (e.g., export restrictions) or other applicable laws.
BY ACCESSING OR USING THE CANDLE SERVICES, YOU REPRESENT THAT YOU ARE AT LEAST 13 YEARS OF AGE, THAT YOUR PARENT OR LEGAL GUARDIAN AGREES TO THESE TERMS IF YOU ARE BETWEEN 13 AND THE AGE OF LEGAL MAJORITY, AND THAT YOU HAVE NOT BEEN PREVIOUSLY REMOVED OR PROHIBITED FROM RECEIVING THE CANDLE SERVICES.
For the Candle Platform:
To be eligible to use the Candle Platform, you must:
a. Be an individual, corporation, legal person, entity, or organization with full power, authority, and capacity to (i) access and use the Candle Platform; and (ii) enter into and comply with these Terms;
b. If acting on behalf of a legal entity, be duly authorized to bind that entity;
c. Not be located, incorporated, or resident in, or have business operations in:
i. A jurisdiction where use of the Candle Platform would be illegal under Applicable Law or cause us or any third party to contravene Applicable Law; or
ii. A country listed in our List of Prohibited Countries.
We may amend eligibility criteria at our discretion, providing notice where possible, though immediate changes may occur without prior notice if required by law, in your interest, or for other valid reasons.
a. Wallet
To open an account, you must connect your Solana wallet. You are solely responsible for maintaining the confidentiality of your wallet, restricting access to your devices, and all activities under your account. Information provided must be true, accurate, current, and complete. You may not sell, rent, lease, transfer, or share your account without our written permission. We reserve all legal rights to prevent unauthorized use.
b. Third-Party Accounts
For the Candle Platform:
To access the Candle Platform, you must have the necessary equipment (e.g., computer or smartphone) and internet access. Access may occur through bots or other methods we permit, subject to additional terms we may communicate.
Access to the Candle Services requires your personal computer or mobile device and internet connectivity. You are responsible for any associated fees or charges from third parties.
We may amend these Terms by posting the revised terms and updating the “Last Updated” date. Your continued use after the effective date constitutes acceptance. For residents of the EU, EEA, UK, or Switzerland acting as a Consumer, we will provide reasonable prior notice of amendments. Not canceling your agreement before the effective date may be deemed consent, unless applicable law requires explicit consent.
Additional Provision:
We may adjust fees from time to time, including introducing new fees. If you do not accept such changes, cease using the Candle Services; continued use constitutes acceptance.
The Candle Services, including all content and materials (excluding User Content), are owned by Candle or its affiliates/licensors and protected by intellectual property laws. You are granted a limited, non-sublicensable, non-transferable license to access and use the Candle Services for personal or internal business use only, subject to these Terms. Prohibited uses include resale, distribution, modification, or data mining without our prior written permission.
For the Candle Platform:
We grant you a non-exclusive license to use Candle IP (excluding Trade Marks) solely for non-commercial personal use of the Candle Platform, effective until these Terms end or your access is suspended/terminated. You grant us a perpetual, irrevocable, royalty-free, worldwide, non-exclusive license to use your User IP as necessary for Created IP or to provide access to the Candle Platform, including the right to sublicense to third parties as needed.
Candle allows you to create, post, transmit, or store User Content (e.g., audio-visual works, chat, forum posts) on the Candle Services.
a. License to Candle
You grant Candle and its sublicensees an unrestricted, worldwide, irrevocable, fully sublicensable, nonexclusive, royalty-free right to use, reproduce, modify, publish, distribute, and display your User Content for any purpose, including monetization, in perpetuity where permitted by law. This includes using your name or likeness if submitted. For certain content (e.g., “Submitted Projects” or streams), rights terminate upon deletion, with exceptions for shared copies, promotional use, or legal retention.
b. User Content Representations and Warranties
You are responsible for your User Content, warranting that you own or have rights to it, and that it does not infringe third-party rights or contain harmful code. Candle reserves rights against breaches.
c. Content is Uploaded at Your Own Risk
We use reasonable security measures but do not guarantee against unauthorized copying. You waive claims against us for such incidents to the extent permitted by law.
d. Promotions
You may conduct promotions if compliant with applicable law and these Terms, using required disclaimers. Candle is not responsible for promotions.
e. Political Activity
You may engage in political activities if eligible under law, but not use monetization tools for political contributions.
You may publish Branded Content (e.g., paid promotions) using our Branded Content tool, ensuring compliance with advertising laws (e.g., FTC Guidelines). You are solely responsible for legal compliance.
You agree not to violate laws, contracts, or third-party rights, or commit torts, and are responsible for your conduct. Prohibited actions include uploading unlawful content, impersonation, spamming, harvesting data, interfering with security features, reverse engineering, or using the Candle Services illegally.
For the Candle Platform:
Additional prohibitions include:
Breaching these Terms or related agreements;
Using the Candle Platform for commercial purposes without consent;
Engaging in market manipulation (e.g., pump and dump schemes);
Providing false information;
Using bots or scripts to access the platform improperly;
Creating security over Digital Assets without consent;
Accessing the platform from high-risk jurisdictions (e.g., Russia, Cuba, Iran).
You may simulcast live streams on other platforms if you maintain quality on Candle, avoid directing users elsewhere, and do not merge external features (e.g., chat) into your Candle stream.
Candle retains exclusive rights to monetize the Candle Services, including advertisements. Third-party ad networks are not permitted, though Branded Content is allowed per Section 9.
We may recommend content of interest to you.
We comply with the DMCA and other copyright laws. Report infringements via our DMCA Guidelines.
Candle’s trademarks and trade dress may not be used without permission per our Trademark Guidelines. Other trademarks belong to their owners and do not imply endorsement.
We may provide Third-Party Content, which we do not control or endorse. Your use of linked Reference Sites is at your own risk.
Submissions to Candle may be used or disclosed without compensation or credit.
Fees for the Candle Platform are listed here (#). You agree to pay all applicable fees, authorizing us to deduct them from your connected Wallet. Calculations by Candle are final absent Manifest Error.
We retain your personal data as needed for continued use of the Candle Platform and legal compliance (e.g., tax, AML laws).
a. General
We do not guarantee successful or timely completion of transactions. Where a transaction involves Improper Intent or Manifest Error, we may cancel or void it without liability, if permitted by law. Transaction records may be kept as required by law.
b. Submission of Instructions
Instructions must be complete and accurate; we are not obligated to verify them but may refuse or defer action if doubtful. Instructions are irrevocable without our consent and effective upon server receipt. You authorize us to process transactions per your Instructions, debiting/crediting your Wallet. Insufficient Digital Assets may result in refusal.
We may act in multiple capacities and receive fees from various users without fiduciary duties beyond these Terms. We are not required to disclose or use material information for your benefit. Conflicts are managed to prevent adverse effects, and we may decline to act if unmanageable.
Your activity may be subject to limits set at our discretion.
You are responsible for protecting your hardware and data from viruses and unauthorized access, maintaining security of access credentials, and monitoring your Activity History for breaches. Notify us immediately of any Security Breach, providing all requested information. We may share such information with third parties to resolve breaches.
Created IP vests in us upon creation. You assign all rights to us and will execute necessary documents to perfect this assignment.
You represent and warrant that:
Your decisions are based on independent judgment;
You have full authority to use the Candle Platform and enter these Terms;
All necessary consents and authorizations are obtained;
Your use of images for Digital Assets is lawful;
These Terms are binding on you and do not breach any laws or agreements.
The Candle Platform is provided “as is” without warranties beyond those required by law. We disclaim implied warranties (e.g., merchantability, fitness) and do not guarantee uninterrupted, timely, or error-free access. Maintenance may suspend access, and third-party links are not our responsibility.
Wallets provided via our app are managed by Privy.io, and we are not liable for their operation or any resulting losses.
You may terminate by ceasing use or deleting your account. EU/EEA/UK Consumers may have withdrawal rights per our EU, EEA & UK Consumer Right of Withdrawal Information. We may terminate or suspend access without notice for violations, fraud, or technical/business reasons, notifying you where legally required.
For the Candle Platform:
We may modify, discontinue, or restrict the Candle Platform for any reason (e.g., ineligibility, suspected fraud, legal requirements), closing open transactions and deducting fees from your Wallet. We are not obligated to resolve disputes over stolen Digital Assets.
a. Indemnification
You agree to indemnify Candle and its affiliates against claims arising from your use, misuse, or breach of these Terms, or violation of third-party rights, to the fullest extent permitted by law.
b. Disclaimers; No Warranties
The Candle Services are provided “as is” without warranties except as required by law for EU/EEA/UK/CH Consumers. We disclaim implied warranties and liability for errors, viruses, or interruptions.
c. Limitation of Liability and Damages
Our liability is limited to fees paid in the prior 12 months or $100, whichever is greater, excluding liability for death, injury, fraud, or other non-excludable losses under law. For the Candle Platform: We are not liable for losses related to Digital Assets, market volatility, third-party actions, or breaches beyond willful misconduct or fraud.
d. Applicable Law and Venue
Disputes are governed by Nevada law and arbitrated in Clark County, NV, per JAMS rules, unless you are an EU/EEA/UK/CH Consumer, in which case California law and local courts apply, preserving mandatory protections.
e. Claims
Claims must commence within one year, where permitted by law.
Includes provisions on waiver, severability, assignment, survival, and the entire agreement, as per the Terms of Service.
